These terms govern your use of the Inovantics platform and website. Plain language — not a wall of text designed to confuse.

§ 1

Who these terms apply to

These Terms of Service apply to everyone who uses the Inovantics website, platform, or services — including school district administrators, transportation operators, enrolled drivers, and parents or guardians who visit the site or sign up for notifications.

By using Inovantics, you agree to these terms. If you do not agree, do not use the platform.

§ 2

What Inovantics is

Inovantics is a compliance and verification platform — not a transportation company, staffing agency, or employment screening service. We provide the technology infrastructure for districts and operators to manage, verify, and document transportation compliance. We do not operate routes, employ drivers, or make employment decisions.

This distinction matters legally: Inovantics provides verification tools. Districts and operators retain responsibility for their own employment decisions, route operations, and compliance obligations. Inovantics does not guarantee that the use of the platform eliminates all legal risk or satisfies all regulatory requirements in every jurisdiction.

§ 3

District terms

Districts that contract with Inovantics agree to:

  • Use the platform only for its intended purpose of transportation vendor oversight.
  • Maintain accurate account information and control access credentials.
  • Not share login credentials with unauthorized personnel.
  • Retain ownership and responsibility for all student data they provide to the platform.
  • Use the platform's evidence and verification records as one component of their compliance program — not as a substitute for their own legal, HR, or procurement obligations.
  • Notify Inovantics promptly of any suspected unauthorized access to their account.

Districts represent that they have the legal authority to enter into a service agreement on behalf of their school district.

§ 4

Operator terms

Transportation operators that use Inovantics agree to:

  • Provide accurate and current credential, vehicle, and driver information.
  • Obtain and maintain signed Biometric Data Consent Agreements from all enrolled drivers before activation.
  • Not enroll any driver without that driver's knowledge and consent.
  • Promptly update the platform when credentials, licenses, inspections, or insurance information changes.
  • Not use the platform to misrepresent the compliance status of their operation.
  • Comply with all applicable federal, state, and local laws governing commercial transportation, driver credentialing, and vehicle inspection.

Operators are responsible for their drivers, vehicles, and routes. Verified Operator status reflects the information on the platform at the time of verification — it is not a guarantee of future compliance or a certification of fitness for any particular contract.

§ 5

Driver terms

Drivers enrolled in the platform by their operator agree to:

  • Provide accurate identity and credential information.
  • Complete and sign the Biometric Data Consent Agreement before any facial verification is performed.
  • Notify their operator immediately if any credential, license, or certification expires or is revoked.
  • Not allow another person to use their enrollment profile or complete a verification on their behalf.
§ 6

Parent and visitor terms

Parents, guardians, and general website visitors who use this site agree to use it only for lawful purposes and not to submit false information through any form on the site. Notification sign-ups are for personal use — not for bulk registration or automated submissions.

§ 7

What Inovantics does not guarantee

Inovantics provides verification tools and compliance infrastructure. We do not guarantee:

  • That the use of the platform eliminates legal liability for any district, operator, or driver.
  • That all verified information is completely accurate at all times — verification reflects the information submitted and checked at the time of each verification event.
  • Uninterrupted platform availability — while we design for high availability and monitor continuously, no platform can guarantee zero downtime.
  • That the platform satisfies every compliance obligation in every jurisdiction — requirements vary by state and municipality, and legal counsel should be consulted for jurisdiction-specific obligations.

Nothing on this website constitutes legal advice. Use of this platform does not create an attorney-client relationship between Inovantics and any user.

§ 8

Intellectual property

All content on the Inovantics website and platform — including text, design, software, logos, and data structures — is the property of Inovantics or its licensors and is protected by applicable intellectual property law.

You may not copy, reproduce, distribute, or create derivative works from Inovantics content without written permission, except for the limited purpose of using the platform as intended.

§ 9

Limitation of liability

To the maximum extent permitted by applicable law, Inovantics shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform — including but not limited to loss of data, loss of revenue, or claims arising from transportation incidents.

Inovantics' total liability to any user for any claim shall not exceed the amounts paid by that user to Inovantics in the twelve months preceding the claim.

Attorney review required: confirm enforceability in Massachusetts and other applicable jurisdictions. Adjust cap amount if needed.

§ 10

Indemnification

You agree to indemnify and hold harmless Inovantics, its officers, directors, employees, and partners — including Mostro Cybersecurity & Compliance — from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the platform, your violation of these terms, or your violation of any applicable law or third-party right.

§ 11

Governing law

These Terms of Service are governed by the laws of the State of Massachusetts. Any disputes arising from these terms shall be resolved in the courts of Massachusetts.

Confirm entity registration and jurisdiction with an attorney before finalizing.

§ 12

Changes to these terms

We may update these terms and will update the "Last updated" date when we do. For material changes we will notify active platform users by email at least 30 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance.

30-day notice period should be confirmed with legal counsel.

§ 13

Termination

Inovantics reserves the right to suspend or terminate access to the platform for any user who violates these terms, submits false information, or uses the platform for unauthorized purposes. Districts and operators may terminate their service agreements per the terms of their individual contracts.
